By downloading, installing, purchasing, or using the font software (“Font Software”) provided by Zetafonts, you explicitly accept and agree to be bound by the terms of this License. If you do not agree with these terms in full, you are not permitted to download, install, or use the Font Software.

1. Grant of License – Commercial Use

Subject to the terms of this Agreement, Zetafonts grants you a perpetual, non-exclusive, non-transferable, non-sublicensable, valid worldwide license to:

- Install and use the Font Software by up to the number of Licensed Users specified in your invoice or license confirmation.

- Create documents, graphics, and other static, non-editable visual assets, including but not limited to:

• Print materials (e.g., books, magazines, brochures, flyers, posters)
• Packaging and other physical products
• Business presentations and internal/external documents (e.g., PDF, JPEG, TIFF, PNG)
• Static digital graphics for web, apps, and social media (without embedding the font file)

- Modify the character outlines for static use only, without generating or distributing new font files 

- Temporarily share the Font Software with a third-party supplier (e.g., a printer or prepress provider) strictly for the purpose of producing a specific deliverable on your behalf, provided that

• The third party uses the Font Software exclusively for your project and does not retain any copies after completion;
• The third party agrees to these same licensing conditions, and you remain fully responsible for any misuse.

2. Uses NOT covered by this license

1. Except as expressly agreed with Zetafonts, you are not allowed to:
   Exceed the number of users beyond the one specified in your invoice and/or license confirmation (requires additional desktop license for every extra user. Check the Corporate licensing for sharing to unlimited users).
2. Share, sublicense, rent or transfer the Font Software to third parties or clients. Check the Corporate licensing for sharing to unlimited users. - Copyright or trademark a logo designed with the font as a distinctive asset. Creating a trademark-able logo requires a Logo licensing.
3. Embed the Font Software in websites, mobile or desktop apps, ebooks, video games, software products or servers. All these actions require the appropriate web or app license. Use in Film, television, streaming, broadcasting or OTT media (requires a Broadcast license)
4. Modify the Font Software to create new fonts or alter its metadata, naming or encoding.
5. Host the font software on public or shared cloud servers accessible to unlicensed users. Use the Font Software in open source or redistributable platforms, or any system making the font publicly accessible. Embed the font as OEM in hardware. (All these uses require written special permission by Zetafonts and are prohibited by default).

- All intellectual and industrial property rights (including copyrights, trademarks, and design rights) in the Font Software are the sole property of Ligature srl, unless otherwise agreed. - This license does not transfer any ownership rights - Unauthorized use constitutes a violation of international intellectual property laws. - Zetafonts reserves the right to include works using its fonts (created under this License) in its portfolio, for the purposes of showcasing typeface usage and design quality, and to publicly reference the Licensee as a client (including the display of the Licensee’s logo), unless explicitly requested otherwise in writing. 4. Limited Warranty & Disclaimer] Zetafonts warrants that it holds full intellectual property rights to the font software, and that their use does not infringe any third-party rights, including but not limited to intellectual property rights. The Font Software is provided “as is” and Zetafonts expressly disclaims any further warranties, whether express or implied. Zetafonts shall not be liable for: - Data loss - Business interruption - Loss of profits or savings - Claims from third parties (Some exclusions may not apply depending on your jurisdiction.) The Font Software is designed to render the typeface consistently across standard, updated operating systems and design applications. If you experience technical issues, you must notify Zetafonts at info@zetafonts.com within thirty (30) calendar days of purchase or download, providing proof of license and a description of the issue. If the claim is validated, Zetafonts will supply a repaired or replacement version of the Font Software. This is your sole and exclusive remedy. 5. License Duration and Termination] This License is perpetual. Any violation of the terms will result in automatic termination of the License. Upon termination, all copies of the Font Software must be deleted. Zetafonts reserves the right to pursue legal remedies in case of infringement. 6. Audit Rights and Compliance] Zetafonts reserves the right to verify your compliance with this License. Upon reasonable written notice, you agree to cooperate in good faith by providing accurate and complete information regarding your use of the Font Software. If it is determined that your use exceeds the limits of this license, you agree to promptly regularize your usage by obtaining the appropriate license(s) and paying any applicable fees. 7. Definitions] - Font Software: digital files used to render the typeface, including any accompanying documentation. - Commercial Use: any use of the Font Software that is part of a business, professional service, paid work, or client project. This includes, but is not limited to branding, publishing, marketing, advertising, internal communications, and the creation of content intended for commercial distribution or monetization. - Use: Installing, loading, accessing, displaying, or otherwise interacting with the Font Software. - Licensed User: means the Licensee or an individual within the same legal entity as the Licensee, authorized to use the Font Software. This does not include external contractors, freelancers, or affiliated entities unless explicitly covered by the license. 8. Governing Law & Contact] This Agreement is governed by the laws of Italy and the EU. Any disputes will be settled in the courts of Florence, Italy.
